NoviHR™ Terms & Conditions
Governing access to and use of the NoviHR platform
1. Introduction
Welcome to NoviHR, a cloud-based Human Capital Management (HCM) platform owned and operated by Novixer Private Limited. These Terms & Conditions govern the access to and use of the NoviHR website, applications, APIs, documentation and related services. By accessing or using NoviHR, the Customer accepts these Terms.
2. Definitions
Company means Novixer Private Limited. Product means NoviHR. Customer means the subscribing organisation. Authorised User means a user approved by the Customer. Customer Data means all information uploaded, stored or processed through NoviHR. Services include the software, mobile applications, APIs, documentation and support.
3. Eligibility
Only organisations and individuals with legal authority may use the Services. Customers are responsible for ensuring that all Authorised Users comply with these Terms and applicable laws.
4. Scope of Services
NoviHR provides HRMS, payroll, attendance, leave, recruitment, performance management, employee self-service, document management, workflow automation, analytics, AI-assisted capabilities and related integrations. Features may change as the platform evolves.
5. Customer Responsibilities
Customers shall maintain accurate account information, protect credentials, configure appropriate user permissions, obtain required employee notices or consents where applicable, and ensure Customer Data is accurate and lawfully processed.
6. Account Security
Administrators are responsible for user lifecycle management, password protection and disabling access for former employees. Multi-factor authentication should be enabled wherever available.
7. Acceptable Use
Users shall not misuse the Services, introduce malware, reverse engineer the platform, interfere with security, exceed documented API limits, upload unlawful content or attempt unauthorised access.
8. Customer Data
Customer Data remains the exclusive property of the Customer. Novixer processes Customer Data solely to provide, secure, maintain and improve the Services in accordance with applicable agreements and law.
9. Privacy
Personal Data is processed in accordance with the NoviHR Privacy Policy and applicable data protection laws including the Digital Personal Data Protection Act, 2023 where applicable.
10. Intellectual Property
All software, documentation, trademarks, logos, interfaces, workflows and related intellectual property remain the exclusive property of Novixer Private Limited. No ownership rights are transferred to Customers.
11. Confidentiality
Each party shall protect confidential information using reasonable administrative, technical and organisational safeguards and disclose it only where authorised or legally required.
12. Availability & Support
Novixer will use commercially reasonable efforts to maintain reliable availability. Support is provided in accordance with the Support Policy and applicable Service Level Agreement.
13. Suspension & Termination
Access may be suspended or terminated for material breach, security concerns, unlawful activity or expiry of the applicable agreement. Eligible Customer Data may be exported before deletion, subject to contractual terms.
14. Limitation of Liability
To the maximum extent permitted by law, Novixer shall not be liable for indirect, incidental or consequential damages. Aggregate liability shall be limited as specified in the applicable commercial agreement.
15. Governing Law
These Terms are governed by the laws of India. Unless otherwise agreed in writing, disputes shall be subject to the jurisdiction of the competent courts at Ahmedabad, Gujarat.
